These terms govern your purchase and use of PhotoTaken ("the Software"). PhotoTaken is published by LorMarSoft, LLC ("LorMarSoft", "we", "us"), a Florida limited liability company. By purchasing, downloading, installing, or using the Software, you agree to these terms.
Subject to your payment of the applicable license fee and your compliance with these terms, LorMarSoft grants you a non-exclusive, non-transferable, perpetual license to install and use the Software on up to two (2) computers that you own or control, for your personal or business photography work. The Software is licensed, not sold; LorMarSoft retains all right, title, and interest in the Software.
You may use the Software to manage your own photographs and the photographs of clients you work with as a photographer. You may install the Software on up to two of your own computers at a time. If you reach the activation limit, you may deactivate a computer through the Preferences screen to free a slot for a new computer.
To activate your license, the Software contacts our activation server once per computer with your email address and a per-computer identifier. After successful activation, the Software stores a signed license file locally and does not require an active internet connection for normal use. The Software periodically checks for updates by fetching a small public manifest file; this check can be turned off in Preferences.
Your license includes all updates released within the 1.x release line at no additional cost. Future major version upgrades (2.0 and beyond) may be offered separately, typically at a reduced upgrade price.
Payments are processed by Paddle.com Inc., which acts as the merchant of record. Paddle handles billing, sales tax, VAT/GST, and refunds. Refund requests are governed by our refund policy.
This license remains in effect until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must stop using the Software and remove all copies from your computers. The disclaimers and limitations in sections 9 and 10 survive any termination.
Our privacy policy explains what we collect, what we don't, and how we use it. It is part of these terms by reference.
The Software is provided "as is" and "as available", without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. LorMarSoft does not warrant that the Software will be uninterrupted, error-free, or free from harmful components, or that defects will be corrected. You are responsible for maintaining your own backups of your photographs and project files.
To the maximum extent permitted by law, LorMarSoft and its affiliates, officers, employees, and agents are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or business interruption, arising out of or related to your use of the Software, even if advised of the possibility of such damages. LorMarSoft's total cumulative liability for any claim related to the Software is limited to the amount you paid for your license.
These terms are governed by the laws of the State of Florida, United States, without regard to conflict of laws principles. Any dispute arising out of or related to these terms or the Software will be brought exclusively in the state or federal courts located in Collier County, Florida, and you consent to the personal jurisdiction of those courts.
We may update these terms from time to time. The "Last updated" date at the top of this page reflects the most recent change. Continued use of the Software after a change constitutes acceptance of the updated terms. Material changes that affect your rights will be announced in the application's release notes.
